Welcome to Shisa Inc. These Terms & Conditions ("Terms") govern your access to and use of our AI-powered services, APIs, and products. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services. These Terms comply with Japanese law and international business standards.
1. Acceptance of Terms
1.1 Agreement to Terms
By creating an account, accessing our website, or using any of our services (including but not limited to our Translation API, TTS API, ASR API, and packaged products), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
1.2 Business Use
Our services are designed primarily for business and commercial use. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
1.3 Age Requirement
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our services. Our services are not intended for individuals under 18 years of age.
2. Service Description and Scope
Shisa Inc. provides AI-powered language technology services specializing in Japanese-English communication. Our services include:
2.1 API Services
- Translation API: LLM-powered Japanese-English translation services
- TTS API: Text-to-speech synthesis with multiple voices and emotional tones
- ASR API: Automatic speech recognition optimized for Japanese language
2.2 Custom Solutions
- Custom LLM training and fine-tuning for enterprise clients
- Dedicated AI model development for specific industries and use cases
- Bespoke integration and consulting services
2.3 Packaged Products
- Chotto: Real-time voice translation application
- AI Kiosk: Multilingual 3D avatar with RAG integration
- Custom Subtitle Product: Live translation for broadcasts and events
We reserve the right to modify, suspend, or discontinue any service or feature at any time with reasonable notice to active users.
3. User Accounts and Registration
3.1 Account Creation
To access certain services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access or security breach
- Accept responsibility for all activities that occur under your account
3.2 API Keys and Authentication
API access requires authentication tokens or keys. You are responsible for keeping these credentials secure and must not share them with unauthorized parties. We are not liable for any losses resulting from unauthorized use of your API keys.
3.3 Account Termination
We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.
4. Acceptable Use Policy and Restrictions
You agree not to use our services to:

- • Illegal or harmful content
- • Hate speech or harassment
- • Child exploitation material
- • Violent or graphic content
4.2 Prohibited Activities
- • Spam or bulk unsolicited messages
- • Fraud or impersonation
- • Malware distribution
- • Unauthorized data scraping
4.3 Technical Restrictions
- • Reverse engineering our services
- • Circumventing rate limits
- • Interfering with service operation
- • Attempting unauthorized access
4.4 Intellectual Property
- • Copyright infringement
- • Trademark violations
- • Unauthorized use of our brand
- • Misrepresenting service origin
Violation of these policies may result in immediate suspension or termination of your account and services, without refund.
5. Payment Terms and Billing
5.1 Subscription Plans
Our services are offered through various subscription tiers (Free, Starter, Pro, Business, Enterprise). Pricing is displayed on our website and may be updated with reasonable notice. Existing subscribers will be notified of price changes at least 30 days in advance.
5.2 Billing Cycle
Subscriptions are billed monthly or annually based on your selected plan. Billing occurs at the beginning of each cycle. Usage-based charges (overage fees) are billed in arrears.
Payment Processing:
- Automatic billing through credit card or approved payment methods
- Invoice payment available for Enterprise plans (net 30 days)
- All prices are exclusive of applicable taxes unless stated otherwise
- Currency: USD or JPY as specified during signup
5.3 Refund Policy
Subscription fees are generally non-refundable. If you cancel your subscription, you will retain access until the end of your current billing period. No refunds will be issued for partial months or unused credits, except as required by law or in cases of service failure on our part.
5.4 Credit Rollover (TTS API)
For Text-to-Speech API subscriptions, unused credits may roll over for up to 2 months with an active subscription. Credits expire upon subscription cancellation or after the rollover period.
5.5 Failed Payments
If payment fails, we will attempt to notify you and retry charging your payment method. Continued payment failure may result in service suspension or account termination. You remain responsible for any outstanding amounts owed.
6. Intellectual Property Rights
6.1 Our Intellectual Property
All intellectual property rights in our services, including but not limited to:
- AI models, algorithms, and training methodologies
- Software, code, and APIs
- Trademarks, logos, and brand materials (including "Shisa Inc." and "Shisa.ai")
- Documentation, guides, and content
- Service architecture and design
These remain the exclusive property of Shisa Inc. Your use of our services does not grant you any ownership rights to our intellectual property.
6.2 Your Content
You retain all intellectual property rights to the content you submit through our services. By using our services, you grant us a limited license to process, store, and transmit your content solely to provide the services. We do not claim ownership of your content and will not use it to train our general AI models without your explicit consent.
6.3 Output and Results
You own the output generated by our services from your input data (e.g., translations, transcriptions, synthesized speech). However, you acknowledge that similar or identical outputs may be generated for other users submitting similar inputs, and we do not guarantee uniqueness of outputs.
6.4 Open Source Components
Some of our services may incorporate open-source software components. Such components are licensed under their respective open-source licenses. Our proprietary components and services remain subject to these Terms.
7. Service Availability and Warranties
7.1 Service Availability
We strive to provide reliable, high-availability services. However, we do not guarantee uninterrupted or error-free service. Scheduled maintenance will be announced in advance when possible. Emergency maintenance may occur without notice.
7.2 Service Level Agreement (SLA)
SLA commitments are provided only to Business and Enterprise tier customers as specified in separate service agreements. Free and Starter tier users receive services on a best-effort basis without guaranteed uptime.
7.3 Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: Our services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will meet your specific requirements, be error-free, secure, or that results obtained will be accurate or reliable. AI-generated content may contain errors, inaccuracies, or biases. You are responsible for verifying and validating all outputs for your use case.
7.4 AI Content Disclaimer
Our AI services generate content based on machine learning models. While we strive for accuracy, AI-generated translations, transcriptions, and synthesized speech may contain errors, cultural nuances may be lost, and outputs should be reviewed for critical applications. We are not responsible for decisions made based on AI-generated content.
8. Limitation of Liability
8.1 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SHISA INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to use) our services
- Any conduct or content of any third party on our services
- Unauthorized access, use, or alteration of your content or data
- Errors, mistakes, or inaccuracies in AI-generated content
- Any other matter relating to our services
8.2 Liability Cap
Our total aggregate liability for all claims arising out of or relating to these Terms or our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or JPY 100,000 (approximately USD $700), whichever is greater.
8.3 Exceptions
Nothing in these Terms shall exclude or limit our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under Japanese law.
9. Termination and Suspension
9.1 Termination by You
You may terminate your account and these Terms at any time by canceling your subscription through your account dashboard or by contacting our support team. Termination is effective at the end of your current billing period.
9.2 Termination by Us
We may suspend or terminate your access to our services immediately, without prior notice or liability, for any reason, including but not limited to:
- Violation of these Terms or our Acceptable Use Policy
- Non-payment of fees or fraudulent payment activity
- Illegal or harmful activities
- Extended period of inactivity (for free tier accounts)
- At our discretion if we cease offering services
9.3 Effect of Termination
Upon termination:
- Your right to use our services will immediately cease
- Your API keys will be deactivated
- We may delete your account data after a reasonable grace period (typically 30 days)
- You remain responsible for any outstanding fees or obligations
- Provisions intended to survive termination (including payment obligations, liability limitations, and dispute resolution) will continue to apply
9.4 Data Export
You are responsible for exporting any data you wish to retain before account termination. We may provide data export tools but are not obligated to retain your data after termination.
10. Governing Law and Dispute Resolution
10.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
10.2 Jurisdiction and Venue
Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts located in Tokyo, Japan. You consent to the personal jurisdiction of such courts and waive any objection to venue therein.
10.3 Dispute Resolution Process
Step 1: Informal Resolution
Before filing any formal dispute, you agree to first contact us at contact@shisa.ai to attempt to resolve the matter informally. We commit to working in good faith to resolve disputes amicably.
Step 2: Mediation (Optional)
If informal resolution fails, parties may agree to mediation through a mutually acceptable mediator in Tokyo, Japan.
Step 3: Litigation
If resolution cannot be achieved through the above steps, disputes shall be resolved through litigation in the appropriate courts in Tokyo, Japan.
10.4 Class Action Waiver
To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
11. Changes to These Terms
We reserve the right to modify or update these Terms at any time to reflect changes in our services, legal requirements, or business practices.
Notice of Changes
We will notify you of material changes by:
- Posting the updated Terms on our website with a new "Last updated" date
- Sending email notification to your registered email address
- Displaying a notice on our service dashboard
Effective Date
Changes become effective 30 days after notice is provided, unless we specify a different effective date. Changes addressing legal or security requirements may be effective immediately.
Acceptance of Changes
Your continued use of our services after the effective date constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of our services and cancel your account before the effective date.
12. General Provisions
12.1 Entire Agreement
These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Shisa Inc. regarding our services and supersede all prior agreements and understandings.
12.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
12.3 Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.
12.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets.
12.5 Force Majeure
We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, pandemics, government actions, labor disputes, or failures of internet or telecommunications infrastructure.
12.6 Export Compliance
You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to international sanctions and are not listed on any government list of prohibited or restricted parties.
12.7 Language
These Terms may be provided in multiple languages for convenience. In the event of any conflict or inconsistency between translated versions, the English version shall prevail.
